Ebner Stolz advises Protagen Protein Services on a merger deal

Stutt­gart, 18^th April 2019 - The au­diting and con­sul­ting firm Eb­ner Stolz ad­vi­sed Ger­man Prota­gen Pro­tein Ser­vices GmbH (PPS) on a mer­ger with US-Ame­ri­can Bio­Ana­ly­tix Inc. Tran­sac­tion sup­port was pro­vi­ded in form of Fi­nan­cial and Tax Due Di­li­gence, as well as Tax struc­tu­ring ad­vice.

Prota­gen Pro­tein Ser­vices GmbH is a full ser­vice con­tract re­se­arch or­ga­niza­tion (CRO) that spe­cia­li­ses in pro­vi­ding GMP com­pli­ant pro­tein ana­lyti­cal ser­vices to cu­st­omers wi­thin the phar­maceuti­cal and bio­tech in­dus­tries. The com­pany is head­quar­te­red in Heil­bronn (Ba­den-Würt­tem­berg).

The US-Ame­ri­can Bio­Ana­ly­tix Inc. is ba­sed in Cam­bridge (Mas­sa­chu­setts). It spe­cia­li­ses in the de­ve­lop­ment and ap­pli­ca­tion of ad­van­ced ana­lytics, as well as the ana­ly­sis of com­plex bio­lo­gics. Their tar­get mar­ket in­clu­des com­pa­nies working in the bio­the­ra­peutic in­dus­try.

By com­bi­ning the ana­lyti­cal plat­forms and ex­pe­ri­ence of both or­ga­niza­ti­ons, the com­bi­ned com­pany will have the op­por­tu­nity to ge­ne­rate syn­er­gies and ap­ply enhan­ced ser­vices to a glo­bal mar­ket (wi­thin USA and Eu­rope).

As one of the lea­ding mem­bers of the glo­bal Ne­xia In­ter­na­tio­nal net­work, the Eb­ner Stolz tran­sac­tion ad­vi­sory team worked clo­sely to­ge­ther with their US-Ame­ri­can part­ners Clif­ton­Lar­so­nAl­len (CLA), who pro­vi­ded lo­cal ex­per­tise in their sup­port of the Tax Due Di­li­gence and Tax struc­tu­ring.
