Stutt­gart, 18th April 2019 - The audi­ting and con­sul­ting firm Ebner Stolz advi­sed Ger­man Pro­ta­gen Protein Ser­vices GmbH (PPS) on a mer­ger with US-Ame­ri­can Bio­Ana­ly­tix Inc. Tran­sac­tion sup­port was pro­vi­ded in form of Finan­cial and Tax Due Dili­gence, as well as Tax struc­tu­ring advice.

Pro­ta­gen Protein Ser­vices GmbH is a full ser­vice con­tract rese­arch orga­niza­tion (CRO) that spe­cia­li­ses in pro­vi­ding GMP com­p­li­ant protein ana­lyti­cal ser­vices to custo­mers wit­hin the phar­maceuti­cal and bio­tech indu­s­tries. The com­pany is head­quar­te­red in Heil­b­ronn (Baden-Würt­tem­berg).

The US-Ame­ri­can Bio­Ana­ly­tix Inc. is based in Cam­bridge (Mas­sa­chu­setts). It spe­cia­li­ses in the deve­lop­ment and app­li­ca­tion of advan­ced ana­lytics, as well as the ana­ly­sis of com­plex bio­lo­gics. Their tar­get mar­ket inclu­des com­pa­nies wor­king in the bio­the­ra­peutic indu­s­try.

By com­bi­ning the ana­lyti­cal plat­forms and expe­ri­ence of both orga­niza­ti­ons, the com­bi­ned com­pany will have the oppor­tunity to gene­rate syn­er­gies and apply enhan­ced ser­vices to a glo­bal mar­ket (wit­hin USA and Europe).

As one of the lea­ding mem­bers of the glo­bal Nexia Inter­na­tio­nal net­work, the Ebner Stolz tran­sac­tion advi­sory team wor­ked clo­sely toge­ther with their US-Ame­ri­can part­ners Clif­ton­Lar­so­nAl­len (CLA), who pro­vi­ded local exper­tise in their sup­port of the Tax Due Dili­gence and Tax struc­tu­ring.
