Stutt­gart, Ger­many, No­vem­ber 2, 2022 - The au­diting and con­sul­ting firm Eb­ner Stolz has ad­vi­sed In­ter­sac­tion Fund II and its port­fo­lio com­pany BMAir Deutsch­land GmbH & Co. KG (BMAir) on the ac­qui­si­tion of Am­berg Um­welt-Tech­nik GmbH (Am­berg Um­welt-Tech­nik) with a Red Flag Fi­nan­cial and Tax Due Di­li­gence

In­ter­sac­tion, a pri­vate equity in­ves­tor ba­sed in the Nether­lands, fo­cu­ses on in­ves­ting in ni­che and B2B com­pa­nies with si­gni­fi­cant growth po­ten­tial and an EBITDA of EUR 2-10 mil­lion. The com­pany ac­qui­red all sha­res in Am­berg Um­welt-Tech­nik th­rough its port­fo­lio com­pany BMAir which is one of the lea­ding ma­nu­fac­turers of pro­tec­tive ven­ti­la­tion sys­tems in Eu­rope. The group is pur­suing an am­bi­tious growth and in­ter­na­tio­na­liza­tion stra­tegy in which the Ger­man mar­ket plays a key role.

Am­berg Um­welt-Tech­nik, ba­sed in Net­te­tal in the Lo­wer Rhine re­gion, was foun­ded in Oc­to­ber 1997 by Her­mann Am­berg as a spe­cia­list com­pany for the clea­ning and air con­di­tio­ning of ex­haust ga­ses from con­struc­tion ma­chi­nes. Re­cently, Am­berg Um­welt-Tech­nik has es­ta­blis­hed its­elf as one of the lea­ding spe­cia­list com­pa­nies in Ger­many for air supply tech­no­logy (pro­tec­tive ven­ti­la­tion), air con­di­tio­ning tech­no­logy and die­sel fil­ter tech­no­logy for con­struc­tion ma­chi­nes. In ad­di­tion to ad­vice to con­struc­tion ma­chine ma­nu­fac­turers and dea­lers as well as the pro­duc­tion of high-qua­lity com­pon­ents, a spe­cially trai­ned cu­st­omer ser­vice staff en­su­res ti­mely and pro­fes­sio­nal in­stal­la­tion and main­ten­ance of the ma­chi­nes on site.

The tran­sac­tion will create a new Eu­ro­pean mar­ket lea­der in pres­su­ri­sed fil­ter sys­tems for mo­bile equip­ment. Fol­lo­wing the ac­qui­si­tion by BMAir, Am­berg Um­welt-Tech­nik will con­ti­nue its ope­ra­tio­nal ac­tivi­ties un­der its own brand.

Eb­ner Stolz pro­vi­ded com­pre­hen­sive sup­port to the buy side for the ac­qui­si­tion in the con­text of a Fi­nan­cial and Tax Due Di­li­gence. Ad­di­tio­nally, Eb­ner Stolz pro­vi­ded ad­vice on the tran­sac­tion struc­ture and the SPA from a Ger­man tax per­spec­tive.
