Ebner Stolz advises RCP on the sale of PowerTech Converter to ABB

Eb­ner Stolz has sup­por­ted in­vest­ment firm RCP on the sale of Power­Tech Con­ver­ter (PTC), a lea­ding supplier of au­xi­li­ary power con­ver­ter so­lu­ti­ons for light rail ve­hi­cles and me­tros. ABB an­noun­ced it will ac­quire the Power­Tech Con­ver­ter (PTC) busi­ness as an im­port­ant part of ABB Mo­tion’s ex­ter­nal growth stra­tegy.

RCP is an in­de­pen­dent and in­ter­na­tio­nally ope­ra­ting in­vest­ment firm ba­sed in Mu­nich that in­vests in cor­po­rate carve-outs and spin-offs across all in­dus­try sec­tors. The firm sup­ports its port­fo­lio com­pa­nies over the long term, pro­vi­ding ope­ra­tio­nal re­sour­ces in ad­di­tion to ca­pi­tal.

Eb­ner Stolz ac­ted as ex­clu­sive M&A ad­vi­sor to RCP th­roug­hout the ent­ire tran­sac­tion pro­cess of sel­ling the PTC busi­ness. FMDH ser­ved as le­gal ad­vi­sor to RCP.

PTC is head­quar­te­red in Ber­lin, Ger­many and has other fa­ci­li­ties in Holz­kir­chen, Ger­many and Mount Olive, USA. With around 280 em­ployees, the busi­ness ge­ne­ra­ted re­ve­nues of ap­pro­xi­mately €60 mil­lion in 2021. The com­pany was ac­qui­red by RCP in 2019 from Knorr-Bremse. Since then, it has been suc­cess­fully de­ve­lo­ped into a lea­ding supplier of au­xi­li­ary con­ver­ters which are es­sen­tial in the supp­le­ment of power nee­ded for vi­tal sys­tems that im­prove pas­sen­ger com­fort such as the HVAC sys­tem (hea­ting, ven­ti­la­tion and air con­di­tion), lighting, safety equip­ment, doors, as well as char­ging of the ve­hi­cle's bat­te­ries.

“We have ac­com­pa­nied Power­Tech Con­ver­ter over the past years and sup­por­ted ma­nage­ment in streng­the­ning the com­pany’s mar­ket po­si­tion, fos­te­ring in­no­va­tion in en­ergy ef­fi­ci­ent pro­ducts and tech­no­lo­gies. As a re­sult, PTC of­fers an ad­van­ced port­fo­lio in­clu­ding Power­BriX ba­sed on si­li­con car­bide (SiC) tech­no­logy. We are de­ligh­ted that ABB gave cre­dit to this de­ve­lop­ment and will sup­port the busi­ness in its fur­ther in­no­va­tion and growth jour­ney” said Ul­rich Radl­mayr, Ma­na­ging Part­ner of RCP.

Fi­nan­cial terms of the tran­sac­tion were not dis­clo­sed, and the deal is ex­pec­ted to close in the fourth quar­ter of 2022, sub­ject to cle­arance from re­le­vant re­gu­latory and anti-trust aut­ho­ri­ties.
