Bonn/Sie­gen, 28th Au­gust 2019 - To­ge­ther with China Re­nais­sance Ca­pi­tal In­vest­ments (CRCI), Estun Au­to­ma­tion Co. Ltd. (Estun) ac­qui­res CLOOS Group (CLOOS). Eb­ner Stolz ad­vi­sed the share­hol­ders of CLOOS on the fi­nan­cial and tax as­pects of the sale. The tran­sac­tion is sub­ject to the ap­pro­val of the re­le­vant aut­ho­ri­ties.

With 750 em­ployees, CLOOS is one of the lea­ding com­pa­nies in wel­ding tech­no­logy. For the con­struc­tion ma­chinery, rail ve­hi­cle, en­ergy and au­to­mo­tive in­dus­tries, CLOOS of­fers world­wide pro­duc­tion so­lu­ti­ons in wel­ding and ro­botics tech­no­logy. The tran­sac­tion se­cu­res CLOOS a strong po­si­tion in China, the world's lar­gest and fas­test-gro­wing ro­botics mar­ket, with the aim to fur­ther de­ve­lop the broad port­fo­lio and se­cure sus­tai­nable growth. The head­quar­ters of the CLOOS Group will re­main in Hai­ger (Hes­sen) as well as the cur­rent ma­nage­ment team, the work­force and the for­eign sub­si­dia­ries will re­main un­chan­ged.

Estun is one of the lea­ding suppliers of drive sys­tems and in­dus­trial ro­botics in China. The ac­qui­si­tion of CLOOS, with the par­ti­ci­pa­tion of the re­now­ned pri­vate equity com­pany CRCI, enab­les Estun to pur­sue its vi­sion of be­com­ing a world lea­der in ro­botics.

Eb­ner Stolz ad­vi­sed the share­hol­ders of CLOOS com­pre­hen­si­vely on the tran­sac­tion and sup­por­ted the mer­ger with Estun in fi­nan­cial and tax mat­ters.

As part of the tran­sac­tion, a team from the Frank­furt law firm Tay­lor Wes­sing hea­ded by Has­san Sohbi pro­vi­ded CLOOS’ share­hol­ders with le­gal sup­port.
