Bonn/Siegen, 28th August 2019 - Together with China Renaissance Capital Investments (CRCI), Estun Automation Co. Ltd. (Estun) acquires CLOOS Group (CLOOS). Ebner Stolz advised the shareholders of CLOOS on the financial and tax aspects of the sale. The transaction is subject to the approval of the relevant authorities.
With 750 employees, CLOOS is one of the leading companies in welding technology. For the construction machinery, rail vehicle, energy and automotive industries, CLOOS offers worldwide production solutions in welding and robotics technology. The transaction secures CLOOS a strong position in China, the world's largest and fastest-growing robotics market, with the aim to further develop the broad portfolio and secure sustainable growth. The headquarters of the CLOOS Group will remain in Haiger (Hessen) as well as the current management team, the workforce and the foreign subsidiaries will remain unchanged.
Estun is one of the leading suppliers of drive systems and industrial robotics in China. The acquisition of CLOOS, with the participation of the renowned private equity company CRCI, enables Estun to pursue its vision of becoming a world leader in robotics.
Ebner Stolz advised the shareholders of CLOOS comprehensively on the transaction and supported the merger with Estun in financial and tax matters.
As part of the transaction, a team from the Frankfurt law firm Taylor Wessing headed by Hassan Sohbi provided CLOOS’ shareholders with legal support.
