Stutt­gart, Sep­tem­ber 22, 2022 - The au­diting and con­sul­ting firm Eb­ner Stolz has ad­vi­sed Ca­li­bre Che­mi­cals Pvt Ltd., In­dia (Ca­li­bre) with a mul­ti­di­sci­pli­nary team on the ac­qui­si­tion of all sha­res in Rhein­Per­Che­mie GmbH (RPC).

Ca­li­bre, an Ever­stone Ca­pi­tal con­trol­led port­fo­lio joint ven­ture with the foun­der, Ran­jit Bhav­nani’s fa­mily, is a spe­cialty che­mi­cals com­pany that ma­nu­fac­tures pro­ducts for cu­st­omers in the nut­ri­tion, phar­maceuti­cal, per­so­nal and con­su­mer care, in­dus­trial and ae­ro­space mar­kets. Ca­li­bre is one of In­dia's lar­gest ma­nu­fac­turers of per­sul­fa­tes, perchlo­rate and io­dine de­ri­va­ti­ves. The com­pany is a pre­fer­red part­ner for cu­st­omers in over 100 coun­tries.

Sin­ga­pore-ba­sed Ever­stone Ca­pi­tal, the pri­vate equity arm of Ever­stone Group, is one of Asia's lea­ding in­vest­ment firms fo­cu­sed on in­ves­ting in busi­nes­ses that have a ne­xus to In­dia and Sou­theast Asia. Foun­ded in 2006 and head­quar­te­red in Sin­ga­pore, the firm ma­na­ges ap­pro­xi­mately USD 7 bn in as­sets.

Since Fe­bru­ary 2020, RPC has been part of Evo­nik In­dus­tries AG, one of the glo­bal mar­ket lea­ders in spe­cialty che­mi­cals. RPC was foun­ded in 2002 fol­lo­wing the sale of the Rhein­fel­den pro­duc­tion site by De­gussa AG to Uni­onchi­mica S.p.A. RPC's pro­ducts, mainly am­mo­nium per­sul­fate and so­dium per­sul­fate, are used in en­viron­men­tal pro­tec­tion, oil and gas pro­duc­tion, pulp and pa­per, che­mi­cal syn­the­sis and other in­dus­trial and con­su­mer ap­pli­ca­ti­ons.

With the ac­qui­si­tion of RPC, Ca­li­bre be­co­mes a glo­bal full-ser­vice per­sul­fa­tes supplier while ex­pan­ding its po­si­tion in the Eu­ro­pean mar­ket. The ac­qui­si­tion of RPC will enable Ca­li­bre to of­fer cu­st­omers best-in-class pro­ducts and ser­vices es­pe­cially in the key mar­kets of Eu­rope. Ca­li­bre plans to fur­ther strengt­hen ma­nu­fac­tu­ring at RPC and add new per­sulp­ha­tes ca­pa­city in other geo­gra­phies.

Eb­ner Stolz hand­led the re­le­vant fi­nan­cial, tax and le­gal as­pects of this tran­sac­tion and the pre­ce­ding due di­li­gence with a mul­ti­di­sci­pli­nary ap­proach from a sin­gle source. In ad­di­tion to the fi­nan­cial, tax and le­gal due di­li­gence, Eb­ner Stolz also sup­por­ted the ent­ire pro­cess up to the si­gning of the purchase agree­ment.
