Frankfurt am Main, February 17th 2025 - On behalf of the shareholders of Hennig Arzneimittel GmbH & Co. KG, RSM Ebner Stolz exclusively led the successful search for a successor and supported the sell side as M&A- and legal advisors. The buyer is the Italian company Polifarma S.p.A., which is also family-owned and based in Rome.

Hennig Arzneimittel GmbH & Co. KG has been operating as a medium-sized, family-owned pharmaceutical company for more than 125 years and specialises in the sale of original preparations, generics and OTC products for the treatment of vertigo and other neurological indications. Of further importance are various export markets in which Hennig has established long-term partnerships with local distributors. The company's sustained success is also based on a diversified product portfolio for other disease areas, including indications such as sleep disorders, pain therapy and high blood pressure, as well as head lice and warts, which are primarily sold on the German market. Hennig also operates as a contract manufacturer, utilizing its expertise in specialised retard and pulsatile solutions for solid dosage forms and its modern and flexible production facilities.

The buyer, Polifarma S.p.A., is a long-standing partner of Hennig Arzneimittel for the Italian market. The company, with a history of more than one hundred years, is part of the diversified Final Group, which comprises the main business activities of the Angelini family. Polifarma offers regional and international preparations for diseases of the central nervous system, gastroenterology, ophthalmology, cardiology and various other infectious diseases. Another area of focus is R&D, especially for bio-digital solutions.

RSM Ebner Stolz was exclusively tasked to lead the sales process of Hennig Arzneimittel GmbH & Co. KG. A team led by industry experts Alexander Wenzel and Pranshu Rohatgi was responsible for the successful investor search and management of the complete M&A process. The interdisciplinary co-operation between various service offerings from RSM Ebner Stolz contributed decisively to the success of the project. In addition to providing M&A advice, a legal team led by Dr. Roderich Fischer and Sascha Meloh provided legal advice, while colleagues from the transaction advisory team surrounding Matthias Krankowsky and Henrik Merz supported the sellers with a financial fact book.

Polifarma was assisted by Deloitte Financial Advisory as exclusive Financial Advisor. The project was carried out by a team composed of partner Elio Milantoni, senior manager Giuseppe Diana, assistant manager Paolo Gambogi, and associate Olivier Vellucci for M&A aspects, while partner Luigi Cutugno and senior manager Simone Beretta focused on debt advisory. EY Law acted as legal advisor to Polifarma S.p.A. with a team led by partners Francesco Aratari and Luca Iannaccone, and counsel Sara Reverso.

The parties have agreed not to disclose the financial terms of the transaction.
