Mu­nich, 23rd Au­gust 2019 - The au­diting and con­sul­ting firm Eb­ner Stolz has ad­vi­sed GE­NUI Zwölfte Be­tei­li­gungs­ge­sell­schaft mbH on the ac­qui­si­tion of the Berge & Meer Group and the Boo­me­rang Rei­sen Group as part of a Fi­nan­cial as well as Tax Due Di­li­gence and Tax Struc­tu­ring.

The Ger­man pri­vate equity com­pany GE­NUI, head­quar­te­red in Ham­burg, ac­qui­res 100% of the sha­res in the two com­pa­nies Berge & Meer and Boo­me­rang Rei­sen. The dis­po­sal of TUI Group’s ma­jo­rity stake was car­ried out th­rough a share deal/carve-out.

The Berge & Meer Group, head­quar­te­red in Rengs­dorf (Rhein­land-Pfalz), fo­cu­ses on the dis­tri­bu­tion of round trips and pa­ckage tours. These are mainly of­fe­red th­rough di­rect sa­les as well as a strong net­work of re­tail part­ners. The Berge & Meer Group has been ac­tive in the tou­rism in­dus­try for over 40 years.

The Boo­me­rang Rei­sen Group, head­quar­te­red in Trier (Rhein­land-Pfalz), is a spe­cia­li­zed tra­vel agency, fo­cu­sing on cu­st­omi­zed tra­vel tours. What in­iti­ally be­gan in 1994 with Aus­tra­lia as the only de­sti­na­tion has now grown into a glo­bally ac­tive com­pany. Boo­me­rang Rei­sen dis­tin­gu­is­hes its­elf es­pe­cially th­rough the in­di­vi­dual sup­port of its cu­st­omers.

In 2019 the two com­pa­nies ex­pect a com­bi­ned re­ve­nue of EUR 276 mil­lion.

Eb­ner Stolz has ad­vi­sed the pri­vate equity com­pany GE­NUI on the ac­qui­si­tion of both tra­vel com­pa­nies as part of a Fi­nan­cial as well as Tax Due Di­li­gence and Tax Struc­tu­ring.
