Stutt­gart, 9th Decem­ber 2019 - The audi­ting and con­sul­ting firm Ebner Stolz advi­sed the EXEL Indu­s­tries Group on its acqui­si­tion of 100% of inte­rest in Eisen­mann intec GmbH & Co. KG.

Eisen­mann intec GmbH & Co. KG is a major manu­fac­tu­rer of bon­ding equip­ment spe­ci­fic to the auto­mo­tive indu­s­try. As pro­fi­ta­ble com­pany, Eisen­mann intec's sales in 2019 will reach almost EUR 40 mil­lion. Eisen­mann intec enga­ges appro­xi­ma­tely 120 emp­loyees, 16 of whom are out­side Ger­many, to sup­port its export custo­mers.

Eisen­mann intec GmbH & Co. KG shall be acqui­red by Sames Krem­lin, an EXEL Indu­s­tries Group sub­si­diary, spe­cia­li­zed in app­li­ca­ti­ons of paints and high-vis­co­sity pro­ducts. Eisen­mann intec’s site at Erft­stadt, near Cologne, will be retai­ned with all the staff in Ger­many and abroad. With this stra­te­gic acqui­si­tion, EXEL Indu­s­tries Group is streng­t­he­ning its pre­sence, espe­cially with Ger­man auto­mo­bile manu­fac­tu­rers. On basis of the highly com­p­le­men­tary pro­duct ran­ges and custo­mers, EXEL Indu­s­tries Group intends to deve­lop its acti­vi­ties in the area of high-vis­co­sity pro­ducts in the auto­mo­tive and indu­s­trial sec­tor.

Ebner Stolz advi­sed the EXEL Indu­s­tries Group in the acqui­si­tion by pro­vi­ding Finan­cial and Tax Due Dili­gence ser­vices as well as sup­port on tran­sac­tion struc­tu­ring. This sup­port also inclu­ded advice in respect of the tax aspects of the purchase agree­ment.
