Mu­nich, 10th April 2019 - The au­diting and con­sul­ting firm Eb­ner Stolz ad­vi­sed ZIEG­LER GROUP on the com­plete ac­qui­si­tion of En­gel­hardt & Geiss­bauer GmbH ("E&G GmbH") as well as on the ac­qui­si­tion of ma­jo­rity sha­res in Schweb­hei­mer Hol­zele­ment­bau GmbH ("SH GmbH") and on the ac­qui­si­tion of selec­ted as­sets of En­gel­hardt & Geiss­bauer GbR ("E&G GbR"). Tran­sac­tion sup­port was pro­vi­ded in form of a Fi­nan­cial Due Di­li­gence.

The ZIEG­LER GROUP, head­quar­te­red in Plößberg (Ba­va­ria), is a wood­wor­king com­pany ope­ra­ting th­roug­hout Eu­rope. De­spite its size, the ZIEG­LER GROUP has re­mai­ned an ow­ner-ma­na­ged fa­mily busi­ness.

Ba­sed in Burg­bern­heim, E&G GmbH has many years of ex­pe­ri­ence in the as­sem­bly of pre­fa­bri­ca­ted woo­den houses and was fully ac­qui­red as part of a share deal. In ad­di­tion, the ZIEG­LER GROUP also ta­kes over the fi­xed as­sets of E&G GbR, which func­tions as a hol­ding com­pany in the En­gel­hardt & Geiss­bauer Group, as part of an as­set deal. The sha­res were sold by the two pre­vious share­hol­ders.

As part of ano­ther share deal, the ZIEG­LER GROUP also ac­qui­res a ma­jo­rity stake in SH GmbH, which acts as a pro­duc­tion com­pany for the above-men­tio­ned E&G GmbH. The pre­vious share­hol­der of SH GmbH re­ta­ins mi­no­rity in­te­rest in the com­pany and con­ti­nues his role as a share­hol­der.

As the new ow­ner of the En­gel­hardt & Geiss­bauer Group and SH GmbH, the ZIEG­LER GROUP plans to ex­pand its va­lue chain in the field of pre­fa­bri­ca­ted woo­den houses.

Eb­ner Stolz pro­vi­ded the ZIEG­LER GROUP with Fi­nan­cial Due Di­li­gence sup­port wi­thin the tran­sac­tion pro­cess.
