Ebner Stolz advises Colfax Corporation on the acquisition of Sandvik’s welding business

Stutt­gart, 8. No­vem­ber 2017 - An Eb­ner Stolz tran­sac­tion team has again ad­vi­sed the lis­ted Ame­ri­can com­pany Colfax Cor­po­ra­tion on an in­ter­na­tio­nal ac­qui­si­tion. Eb­ner Stolz pro­vi­ded fi­nan­cial as well as tax due di­li­gence sup­port.

Colfax Cor­po­ra­tion is a glo­bal ma­nu­fac­tu­ring and en­gi­nee­ring com­pany ba­sed in the US that pro­vi­des gas-hand­ling so­lu­ti­ons and fa­bri­ca­tion tech­no­logy to cu­st­omers around the world. The com­pany is lis­ted on the New York Stock Ex­change.
 
Sand­vik’s wel­ding busi­ness, part of Sand­vik Ma­te­ri­als Tech­no­logy, is a lea­ding glo­bal pro­du­cer of pre­mium stain­less steel and ni­ckel al­loy con­suma­ble wel­ding pro­ducts with ma­nu­fac­tu­ring lo­ca­ti­ons in Swe­den and the US.
 
The Sand­vik wel­ding busi­ness is highly in­te­gra­ted wi­thin the Sand­vik group, re­qui­ring com­plex ana­ly­sis both in the due di­li­gence phase and for fu­ture in­te­gra­tion plan­ning.  Due to the close col­la­bo­ra­tion bet­ween Eb­ner Stolz and Colfax, a large num­ber of dif­fe­rent as­pects of the carve-out tran­sac­tion were de­eply ana­ly­zed and so­lu­ti­ons were de­ve­lo­ped.
 
This is Colfax’s third ac­qui­si­tion with Eb­ner Stolz this year;  Eb­ner Stolz pre­viously sup­por­ted Colfax in its suc­cess­ful purchase of Sie­mens Tur­bo­ma­chinery Equip­ment and TBi In­dus­tries.
