Ebner Stolz advises Colfax Corporation on the acquisition of Sandvik’s welding business

Stutt­gart, 8. Novem­ber 2017 - An Ebner Stolz tran­sac­tion team has again advi­sed the lis­ted Ame­ri­can com­pany Col­fax Cor­po­ra­tion on an inter­na­tio­nal acqui­si­tion. Ebner Stolz pro­vi­ded finan­cial as well as tax due dili­gence sup­port.

Col­fax Cor­po­ra­tion is a glo­bal manu­fac­tu­ring and enginee­ring com­pany based in the US that pro­vi­des gas-hand­ling solu­ti­ons and fabri­ca­tion tech­no­logy to custo­mers around the world. The com­pany is lis­ted on the New York Stock Exchange.
 
Sand­vik’s wel­ding busi­ness, part of Sand­vik Mate­rials Tech­no­logy, is a lea­ding glo­bal pro­du­cer of pre­mium stain­less steel and nickel alloy con­suma­ble wel­ding pro­ducts with manu­fac­tu­ring loca­ti­ons in Swe­den and the US.
 
The Sand­vik wel­ding busi­ness is highly inte­g­ra­ted wit­hin the Sand­vik group, requi­ring com­plex ana­ly­sis both in the due dili­gence phase and for future inte­g­ra­tion plan­ning.  Due to the close col­la­bo­ra­tion bet­ween Ebner Stolz and Col­fax, a large num­ber of dif­fe­rent aspects of the carve-out tran­sac­tion were dee­ply ana­ly­zed and solu­ti­ons were deve­lo­ped.
 
This is Col­fax’s third acqui­si­tion with Ebner Stolz this year;  Ebner Stolz pre­viously sup­por­ted Col­fax in its suc­cess­ful purchase of Sie­mens Tur­bo­ma­chi­nery Equip­ment and TBi Indu­s­tries.
